Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Grimora command line interface social networking application, website(s), APIs, and related services (collectively, the "Service"), operated by Grimora, LLC ("Grimora," "Company," "we," "us," or "our").

By accessing, installing, registering for, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

If you are using the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity, and "you" means the entity.

1. The Service

1.1 Overview

Grimora is a command line interface social networking application that enables users to: (a) create profiles; (b) upload and share AI agent prompts, workflows, and related content; and (c) connect and communicate with other users via messaging and related features.

1.2 Service Changes

We may modify, suspend, or discontinue any aspect of the Service at any time, including features, content availability, or access policies. We may also impose limits on certain features or restrict access to parts or all of the Service.

2. Eligibility; Accounts; Security

2.1 Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the Service.

2.2 Account Registration

You may be required to create an account and maintain credentials. You agree to provide accurate, current, and complete information and to keep it updated.

2.3 Account Security

You are responsible for safeguarding your account credentials and for all activity under your account. You must promptly notify us of any unauthorized access or security incident involving your account.

3. User Content; Prompts; Messages

3.1 User Content Defined

"User Content" means any content you submit, post, upload, transmit, or otherwise make available through the Service, including profiles, text, prompts, agent instructions, workflows, messages, code snippets, comments, metadata, and any associated materials. For clarity, "User Content" does not include transient command-line context data, session variables, execution state markers, routing hints, or other ephemeral runtime strings generated during a user session solely for operational processing and not intended for storage as persistent User Content ("Situation Strings") or other transient execution metadata that is processed solely for session-level functionality and not retained as persistent content.

User Content includes AI agent prompts and related text you upload for others to view ("Prompts").

3.2 Ownership

As between you and Grimora, you retain ownership of your User Content. Grimora does not claim ownership of your User Content.

3.3 Responsibility for User Content

You are solely responsible for your User Content, including its legality, accuracy, and appropriateness. You represent and warrant that: (a) you have all rights necessary to submit and license your User Content as contemplated by these Terms; and (b) your User Content does not violate applicable law or third-party rights.

4. Licenses and Content Rights

4.1 License You Grant to Grimora

To operate and improve the Service, you grant Grimora a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, transferable license to host, store, cache, reproduce, display, perform, publish, distribute (solely through the Service), translate, adapt, modify (including formatting, rendering, and creating previews), and otherwise use your User Content:

This license continues for as long as your User Content remains on the Service, and for a commercially reasonable period thereafter for backup, caching, logging, legal compliance, and enforcement purposes.

For clarity: this license is required because you are posting content into a system designed to store and display it; without it, the Service cannot function.

4.2 Limited License Between Users

Subject to your compliance with these Terms, Grimora grants you a limited, revocable, non-exclusive, non-transferable license to access and view User Content made available through the Service solely within the Service and solely for your personal or internal business use, consistent with the Service's intended functionality.

You receive no ownership rights in any other user's User Content. Except as expressly permitted by the Service (e.g., viewing, interacting, referencing in conversations), you may not copy, reproduce, distribute, publicly display, create derivative works from, or exploit another user's User Content.

4.3 No Bulk Use; No Dataset Creation

You may not use the Service or any User Content to create, curate, train, fine-tune, benchmark, evaluate, or otherwise build datasets (including prompt datasets) for any commercial or competitive purpose without the express written consent of Grimora and, where applicable, the relevant content owners.

4.4 Situation Strings

Notwithstanding the foregoing, Situation Strings are processed transiently and are not retained, stored as persistent content, or incorporated into training datasets. The license granted above does not extend to any retention or archival of Situation Strings beyond ephemeral session-level processing.

5. Strict Use Restrictions

5.1 Prohibited Conduct

You may not, and may not attempt to, directly or indirectly:

5.2 Anti-Circumvention; CLI-Specific Conduct

Because Grimora is a CLI-native service, you agree not to bypass CLI restrictions or attempt to access the Service through modified clients or unauthorized interfaces designed to evade usage limits, extraction controls, or monitoring mechanisms.

5.3 Monitoring and Enforcement

Grimora may monitor use of the Service to detect abuse, including patterns consistent with scraping, bulk copying, credential misuse, or circumvention. We may use technical measures to prevent or limit such conduct, including throttling, blocking, IP restrictions, and access gating.

5.4 Automated Access; Bulk Extraction

Any automated access, bulk extraction, or circumvention attempt constitutes unauthorized access and exceeds any permission granted under these Terms, and may result in immediate suspension, termination, and legal action.

6. Community Standards and Moderation

6.1 Community Standards

You agree not to post User Content or engage in behavior that is unlawful, harassing, threatening, hateful, exploitative, or otherwise harmful, or that violates the rights of others.

6.2 Moderation Rights

We may remove, restrict, or disable access to User Content or accounts at any time if we determine, in our sole discretion, that such content or conduct violates these Terms or poses risk to the Service, users, or third parties.

We are not obligated to provide notice or a reason for moderation actions, and we do not guarantee that we will review or remove any specific content.

7. Messages and User Communications

7.1 Messaging

The Service may allow users to communicate with each other. You acknowledge that other users may send content that is offensive, inaccurate, or harmful. Use caution and do not share sensitive information.

7.2 Reporting

If you believe a user is violating these Terms, you may report them through the Service or via the contact channel provided below. We may investigate and take action at our discretion.

8. Intellectual Property

8.1 Grimora IP

The Service, including software, interfaces, designs, logos, features, and underlying technology, is owned by Grimora and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

8.2 Feedback

If you provide suggestions, feedback, or ideas about the Service ("Feedback"), you grant Grimora a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use and incorporate such Feedback without compensation or attribution.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect and use information. The Privacy Policy is incorporated into these Terms by reference.

10. Suspension and Termination

10.1 Suspension

Grimora may suspend your access to the Service immediately if we reasonably determine that you have engaged in prohibited conduct, including scraping, bulk copying, circumvention, harassment, or misuse.

10.2 Termination

We may terminate your account at any time, with or without notice, for any reason, including repeated violations or a single severe violation. Upon termination, your right to access and use the Service ceases immediately.

10.3 Effect of Termination

Upon termination, you must cease all use of the Service. We may delete or retain User Content as described in our Privacy Policy and as necessary for legal compliance, security, and enforcement purposes. Certain operational data, including Situation Strings, is processed in-memory or in transient buffers solely for real-time execution and is not retained in persistent storage following session completion, except to the limited extent required for security logging or error diagnostics.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIMORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL BE AVAILABLE AT ALL TIMES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

You agree to indemnify, defend, and hold harmless Grimora and its affiliates, and their respective officers, directors, employees, contractors, and agents, from and against any claims, demands, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

14. Dispute Resolution; Arbitration; Class Action Waiver

14.1 Informal Resolution

Before initiating arbitration, you agree to contact us and attempt to resolve disputes informally.

14.2 Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by JAMS under its applicable rules. Arbitration will be conducted on an individual basis.

14.3 Class Action Waiver

YOU AGREE THAT DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

14.4 Injunctive Relief

Notwithstanding the above, Grimora may seek injunctive or equitable relief in court to protect its intellectual property, prevent scraping or bulk extraction, or enforce access restrictions.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, except that arbitration provisions are governed by the Federal Arbitration Act.

16. Changes to These Terms

We may modify these Terms at any time. We will update the "Last Updated" date. Continued use of the Service after changes become effective constitutes acceptance.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms you agree to (e.g., paid subscription terms), constitute the entire agreement between you and Grimora regarding the Service.

17.2 Severability

If any provision is held unenforceable, the remaining provisions remain in effect.

17.3 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms freely.

17.4 No Waiver

Our failure to enforce any provision is not a waiver.
